Terms and Conditions
By accessing our website, requesting a quotation, or placing an order directly with Padheriya Overseas (“Seller”), the buyer (“Buyer”) agrees to be bound by the following Terms & Conditions.
Company Overview
Padheriya Overseas is an India-based export company engaged in the supply of agro commodities, spices, grains, millets, and selected handicraft products. We specialize in delivering export-quality goods to international markets strictly in accordance with mutually agreed specifications and contractual terms.
Product Quality & Specifications
All products are supplied strictly as per the final specifications confirmed in the Proforma Invoice (PI) or sales contract. Natural agro products may show minor variations in color, size, or appearance, which are considered normal and acceptable. Products are inspected before dispatch; however, shelf life depends on storage and handling conditions at the Buyer’s end.
Packaging Terms
Standard export packaging includes PP bags, jute bags, paper bags, or vacuum packing as per product requirements.
Common pack sizes: 25 kg, 40 kg, 50 kg, or as mutually agreed.
Packaging may include inner poly liners and export markings (product name, net weight, origin, batch number).
Customized packaging or private labeling can be arranged at an additional cost with prior confirmation.
Once packaging is approved and goods are dispatched, the Seller is not responsible for damages caused by mishandling after dispatch.
Payment Terms
Unless otherwise expressly agreed in writing by the Seller, the following payment terms shall apply:
Standard Payment Term:
Fifty Percent (50%) of the total order value shall be paid in advance by T/T (Telegraphic Transfer) or Bank Wire Transfer at the time of order confirmation. The remaining Fifty Percent (50%) balance payment shall be payable against the scanned copy of the Bill of Lading (B/L) or Air Waybill (AWB), prior to the release of original shipping documents.
Alternative Payment Terms (Subject to Seller’s Approval):
- Irrevocable Letter of Credit (L/C) at Sight, issued by a prime, first-class, and internationally recognized bank acceptable to the Seller; or
- Partial advance payment with the remaining balance payable before shipment, applicable exclusively to repeat buyers with an established transaction history and subject to Seller’s discretion.
The Seller reserves the right to withhold shipment or release of documents until full payment is received in accordance with the agreed terms.
Pricing & Validity
All prices are quoted in USD or another mutually agreed currency. Prices are based on Incoterms such as FOB, CIF, CFR, or EXW as stated in the Proforma Invoice. Prices are subject to market fluctuations unless confirmed by a valid PI.
Shipping & Delivery
Shipment timelines are approximate and depend on production, packing, vessel availability, and port conditions. The Seller is not responsible for delays caused by shipping lines, customs authorities, or force majeure events.
Certificates & Documentation
We provide export documents as per buyer and destination country requirements, including:
- Commercial Invoice & Packing List
- Bill of Lading / Airway Bill
- Certificate of Origin
- Phytosanitary & Fumigation Certificates
- Other certificates if required (at actual cost)
Inspection & Claims
Third-party inspection can be arranged at Buyer’s cost if requested before shipment. Claims must be reported within 7 days of goods arrival with supporting evidence. No claims will be accepted after goods are sold, processed, or repacked.
Cancellation & Refund Policy
Order cancellation is not permitted once production or packing has started. Advance payments are non-refundable unless agreed otherwise in writing.
Force Majeure
Padheriya Overseas shall not be liable for delays or failure caused by events beyond reasonable control, including natural disasters, war, strikes, government restrictions, or port shutdowns.
Governing Law & Jurisdiction
All transactions shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of Indian courts.
Acceptance of Terms
Placing an order with Padheriya Overseas confirms that the Buyer has read, understood, and accepted these Terms & Conditions in full.
